Terms & Conditions — Workshops

PREAMBLE

These Terms & Conditions ("Terms") govern participation in all Workshops offered through the Pixavince Photography Group platform at `pixavince-photography.club`.

Pixavince Photography Group ("PPG", "we", "us", "our") is operated by Pixavince Creations, having its registered office at Row House-6, Bhargav Wihar, S.No. 53/1, Near Dnyandeep School, Off Bangalore Bypass, Kudale Baug, Sinhagad Road, Pune, Maharashtra 411041, India.

These Terms form a legally binding agreement between Pixavince Creations and any member who registers for, enrols in, pays for, attends or participates in any Workshop ("Participant", "you", "your").

By completing enrolment, making payment, or attending any part of a Workshop, you confirm that you have read, understood and unconditionally accepted these Terms in their entirety, on your own behalf and on behalf of any minor or accompanying person you register.

If you do not agree to any part of these Terms, do not enrol.


SECTION 1 — DEFINITIONS AND INTERPRETATION

1.1 "Workshop" means any paid or free instructional programme, class, photo-walk, field session, studio session, masterclass, bootcamp, tour, outing or residential programme listed under Workshops on the PPG platform, whether conducted online, offline or in hybrid mode.

1.2 "Workshop Page" means the individual listing for a Workshop on the PPG platform, together with its stated description, dates, venue, inclusions, exclusions, eligibility, capacity, fee, points settings and refund policy.

1.3 "Workshop Fee" means the amount actually received by PPG from the Participant for a specific Workshop, net of taxes, payment gateway charges, points redeemed and any third-party charges.

1.4 "Member" means a person holding a registered PPG account in ACTIVE status. "Membership Tier" means the Basic, Classic or Elite tier applicable to that account.

1.5 "Registration" means a confirmed seat in a Workshop, evidenced by a PAID order and a registration record on the Participant's PPG dashboard.

1.6 "Points" means reward points under the PPG Rewards & Points programme, governed additionally by the Rewards & Points terms published on the platform.

1.7 "Venue" means any location where a Workshop or part of it is conducted, including studios, classrooms, outdoor locations, forests, sanctuaries, water bodies, public roads, private property, hotels, transport vehicles and any location travelled to or through.

1.8 "Faculty" means any trainer, instructor, mentor, guest speaker, assistant, guide, volunteer, coordinator or representative engaged by PPG.

1.9 "Third-Party Provider" means any person or entity not employed by PPG whose services form part of, or are availed during, a Workshop — including transport operators, hotels, resorts, homestays, caterers, local guides, permit authorities, boat operators, models, makeup artists, venue owners and equipment rental agencies.

1.10 "Content" means all photographs, videos, audio, files, text, presentations, handouts, notes, templates, presets and digital assets created, supplied or shared by either party in connection with a Workshop.

1.11 Headings are for convenience only. The singular includes the plural and vice versa. "Including" means "including without limitation".


SECTION 2 — RELATIONSHIP WITH OTHER PPG TERMS

2.1 Structure. These Terms apply to Workshops only. Contests, Challenges and Group Activities are each governed by their own separate Terms published on the PPG platform. Where you take part in more than one category, each applicable set of Terms applies independently to that activity.

2.2 Platform terms. These Terms operate in addition to the general PPG Website Terms of Use, Privacy Policy and Rewards & Points terms. In the event of conflict on a Workshop-specific matter, these Terms prevail.

2.3 Workshop Page prevails on specifics. Where the Workshop Page states a refund policy, fee, inclusion, exclusion, eligibility condition, capacity, cut-off date, points value or any other Workshop-specific particular, that stated position governs that Workshop and prevails over any general statement in these Terms. These Terms supply the legal framework; the Workshop Page supplies the commercial specifics.

2.4 Entire agreement. These Terms, together with the Workshop Page and any written joining instructions issued by PPG, constitute the entire agreement. No verbal assurance, WhatsApp message, social media comment or statement by any Faculty member, volunteer or representative shall vary these Terms unless confirmed in writing by an authorised representative of Pixavince Creations.

2.5 Amendment. PPG may amend these Terms at any time. The version published on the platform on the date of your enrolment governs that enrolment, save for amendments required by law or by circumstances beyond our control, which apply immediately.

2.6 Language. In the event of any translation, the English version prevails.


SECTION 3 — MEMBERSHIP REQUIREMENT

3.1 Members only. Workshop enrolment is available only to logged-in PPG members whose account is in ACTIVE status. Guest enrolment is not available. Browsing Workshop listings does not require an account; enrolling does.

3.2 Account accuracy. You are responsible for keeping your PPG profile accurate and current, including name, contact number, email, address, emergency contact and any medical or physical condition relevant to participation. PPG relies entirely on this information and accepts no liability arising from information that is false, incomplete, withheld or outdated.

3.3 Account security. You are responsible for all activity under your account. Login credentials are personal and non-transferable. Sharing credentials is a material breach.

3.4 Suspension or termination. If your membership is suspended, terminated or otherwise ceases to be ACTIVE at any time before or during a Workshop, your Registration stands cancelled with immediate effect. No refund is payable where the cessation arises from your breach of these Terms or of the PPG platform terms.

3.5 Tier eligibility and early access. A Workshop may be restricted to specified Membership Tiers, or may open to higher tiers before opening generally. Eligibility and access timing are as configured on the Workshop Page and are enforced at the point of enrolment. Tier eligibility is assessed at the time of enrolment; a subsequent change in your tier does not affect a confirmed Registration, nor does it entitle you to any refund or adjustment.


SECTION 4 — ELIGIBILITY AND ENROLMENT

4.1 Confirmation of seat. A seat is confirmed only when payment is successfully received and your order status becomes PAID, with a corresponding registration record on your dashboard and a confirmation email. Adding a Workshop to checkout, initiating payment, or an order in PENDING status does not confirm a seat.

4.2 Capacity and allotment. Seats are limited and allotted on a first-paid, first-confirmed basis. Displayed seat availability is indicative and may change between page load and payment. Where a Workshop fills before your payment completes, the amount received will be refunded in full and this shall be your sole and exclusive remedy.

4.3 Age requirements. The minimum age for participation in a PPG Workshop is 18 years.

A person below 18 years ("Minor") may participate only where all of the following conditions are satisfied:

(a)
the Minor's parent or legal guardian has submitted specific written consent to PPG, in the form prescribed by PPG, before the Workshop commences, identifying the Minor and the specific Workshop concerned;
(b)
that parent or legal guardian has read and accepted these Terms on the Minor's behalf, and accepts the assumption of risk in Section 8, the indemnity in Section 17 and the waiver in Section 18 on the Minor's behalf and on their own;
(c)
the enrolment is made through the parent's or legal guardian's own ACTIVE PPG membership account, the Minor not being eligible to hold an account in their own right;
(d)
the parent or legal guardian, or an adult nominated by them in writing and accepted by PPG, accompanies the Minor throughout the Workshop, including during travel, meals, breaks and any overnight stay; and
(e)
PPG has confirmed in writing that it accepts the Minor's participation in that specific Workshop.

Consent given for one Workshop does not extend to any other Workshop. PPG may decline the participation of any Minor at its sole discretion without assigning reason. Certain Workshops may be restricted to adults only, as stated on the Workshop Page, and no Minor shall be admitted to such a Workshop under any circumstance.

4.4 Prerequisites. Where a Workshop Page specifies prerequisites — skill level, equipment, physical fitness, trekking capability, swimming ability, prior coursework — you are solely responsible for ensuring you meet them. PPG is not obliged to verify prerequisites and is not liable for any diminished experience, exclusion or injury resulting from your failure to meet them.

4.5 Right of admission. PPG reserves an absolute and unqualified right of admission. PPG may decline, defer or cancel any enrolment at its sole discretion without assigning reason, in which case the amount received for that enrolment shall be refunded in full and this shall be your sole and exclusive remedy.

4.6 Personal to the member. Attendance is personal to the enrolled member. Substitution of attendees is not permitted except as provided in Clause 6.7.

4.7 Duplicate registration. One Registration per member per Workshop. Duplicate or repeated registrations may be cancelled at PPG's discretion. Where a duplicate amount is refunded, it shall be refunded net of every cost, charge and loss incurred or suffered by PPG in consequence of the duplicate registration, including payment gateway and bank charges on both the original transaction and the refund, the administrative charge under Clause 6.6, and any cost, commitment or lost seat arising from the duplicate having blocked capacity. PPG shall determine the amount of such deduction, and its determination shall be final. Where the deductions equal or exceed the duplicate amount, no refund shall be payable.


SECTION 5 — FEES, PAYMENT, POINTS AND TAXES

5.1 Fee and payment. The Workshop Fee is as displayed on the Workshop Page at the time of enrolment. Payment is made online through the payment gateway integrated with the platform. PPG does not store your card, UPI or banking credentials.

5.2 Inclusions and exclusions. The Workshop Fee covers only the items expressly listed as inclusions on the Workshop Page. Unless expressly listed, the Fee excludes travel to and from the reporting point, personal transport, accommodation, meals, entry and camera fees at monuments, parks, sanctuaries or private venues, permits, guide charges, model fees, personal expenses, insurance and medical costs.

5.3 Taxes. All fees are subject to GST and any other statutory levy at prevailing rates. Where any new tax, cess or levy is imposed after enrolment, you shall bear the incremental amount.

5.4 Gateway and bank charges. Payment gateway fees, convenience charges, foreign exchange conversion charges and bank transfer charges are borne by you and are non-refundable in all circumstances, including where a refund is otherwise payable.

5.5 Points redemption. Where redemption is available, Points may be applied against the Workshop Fee up to the maximum discount displayed at checkout. That maximum is determined by your Membership Tier and by the redemption settings applicable to the Workshop, and is subject to the platform-wide redemption ceiling. No Workshop can be funded entirely by Points; a cash component always remains payable. Points redeemed are deducted from your balance when the order is created, before payment is completed.

5.6 Points earned. Where a Workshop carries attendance points, those points are credited only when your attendance is marked as ATTENDED by PPG after the Workshop, at the value configured for that Workshop. Registration alone, non-attendance, partial attendance, late arrival, early departure or a No-Show carries no points. Any purchase points are credited at the rate configured for that Workshop and may be zero.

5.7 Points are not currency. Points have no cash value, cannot be encashed, transferred, gifted or exchanged, expire in accordance with the Rewards & Points terms, and may be adjusted or reversed by PPG where awarded in error or where the underlying transaction is cancelled or reversed.

5.8 Pricing changes. PPG may revise pricing for future Workshops or batches at any time. You are not entitled to any refund, credit, adjustment or price-match on account of a subsequent price reduction, discount or promotional offer.

5.9 Discounts and offers. Discounts are non-transferable, non-encashable, cannot be combined unless expressly stated, and are void on cancellation. Refunds, where payable, are computed on the amount actually paid after discount.

5.10 Failed and abandoned payments. Orders that remain unpaid are released automatically after the platform's stale-order interval, and the seat and any redeemed Points are returned. PPG is not liable for a seat lost through a failed, delayed, abandoned or disputed payment.

5.11 Chargebacks. Initiating a chargeback, payment dispute or reversal without first exhausting the grievance process in Section 19 shall be treated as a material breach. PPG reserves the right to recover the disputed amount together with all associated costs, to reverse any Points credited, and to permanently bar you from all future PPG activities.


SECTION 6 — CANCELLATION AND REFUND BY PARTICIPANT

6.1 REFUND POLICY IS SET PER WORKSHOP. Refund entitlement is not uniform across PPG Workshops. Each Workshop carries its own refund policy, stated on its Workshop Page and displayed to you before payment. The refund policy displayed on the Workshop Page at the time of your enrolment is the operative and binding refund policy for that Registration, and prevails over any general statement in these Terms.

It is your responsibility to read the refund policy for the specific Workshop before you pay. Refund policies may differ materially between Workshops — for example, a studio session and a multi-day residential tour will not carry the same terms — because PPG's own committed costs differ.

6.2 Every Workshop states its refund policy. Every Workshop Page states the refund policy applicable to that Workshop, and it is displayed to you before payment. You must read it before enrolling. This page does not state refund entitlements for any particular Workshop and must not be relied upon as doing so — it sets out only the framework within which each Workshop's own policy operates. In the event that no refund policy is displayed for a Workshop at the time of your enrolment, no refund shall be payable once the Registration is confirmed, save at PPG's absolute discretion.

6.3 How to cancel. Cancellation requests must be made through the order cancellation facility on your PPG dashboard, or in writing to contact@pixavince.com. The date and time at which PPG receives the request governs the refund slab — not the date of your decision, message to any individual, or any verbal intimation.

6.4 Non-attendance. Failure to attend, late arrival, early departure, partial attendance, or withdrawal after commencement — for any reason whatsoever, including illness, personal emergency, work commitments, travel failure, transport delay or family circumstances — carries no refund, no credit, no points and no pro-rata adjustment, irrespective of the Workshop's refund policy, unless that policy expressly states otherwise.

6.5 Non-refundable committed costs. Amounts already committed by PPG to Third-Party Providers on your behalf — including non-refundable accommodation, permits, transport advances, model fees and entry passes — are non-refundable in all circumstances and shall be deducted before computing any refund, irrespective of the applicable slab.

6.6 Deductions. Payment gateway and bank charges (Clause 5.4), committed costs (Clause 6.5), and an administrative charge as applicable shall be deducted from any refund otherwise payable. The administrative charge is not a fixed figure: it may be levied as a fixed amount or as a percentage, and varies according to the payment method used, the charges actually levied on PPG by the payment gateway, acquiring bank or card network on both the original transaction and the refund leg, and the costs incurred by PPG in processing the cancellation. PPG shall determine the deduction applicable to each refund and its determination shall be final.

6.7 Seat transfer. A Registration is personal to the enrolled member and is not transferable as of right. No Participant shall have any claim, expectation or entitlement to transfer a seat.

PPG will, in good faith, consider a written request to transfer a seat to another eligible member in genuine cases. Any such request is considered entirely on a case-to-case basis, at PPG's sole discretion, and nothing whatsoever is assured. A transfer permitted on one occasion, or for one member, creates no precedent and confers no right on any other occasion or member.

Whether a transfer can be accommodated depends substantially on matters outside PPG's control. Travel, accommodation, permit, entry, insurance and similar arrangements made through Third-Party Providers — including rail and air reservations, hotel bookings and forest or monument permits — are frequently issued in a named person's name and are non-transferable, non-amendable or cancellable only with penalty. Where any such component cannot be transferred, PPG may decline the transfer outright, or permit it only in respect of the transferable components.

Where PPG does permit a transfer:

(a)
the incoming person must be an ACTIVE PPG member, must satisfy every eligibility condition for that Workshop including tier and prerequisites, and must independently accept these Terms before the transfer takes effect;
(b)
all cancellation charges, re-booking charges, fare or tariff differences, penalties and administrative costs arising from the transfer shall be borne by the outgoing member, and shall be paid before the transfer is effected;
(c)
the transfer must be requested with sufficient notice to allow the arrangements to be changed, as determined by PPG in the circumstances of that Workshop;
(d)
Points redeemed by the outgoing member are not carried over to the incoming member and are dealt with under Clause 6.10; and
(e)
the transfer, once effected, is final and the outgoing member shall have no further claim in respect of that Registration.

PPG's decision on any transfer request is final and shall not be the subject of any grievance, appeal or claim.

6.8 Deferral and carry-forward. Deferral is not a right. No Participant shall have any claim, expectation or entitlement to defer a Registration to a later Workshop or batch.

PPG will, in good faith, consider a written request to defer in genuine cases, entirely on a case-to-case basis, at its sole discretion, and nothing is assured. A deferral permitted on one occasion creates no precedent.

Where PPG agrees to a deferral, it shall first cancel the bookings and arrangements made for that Participant, and shall carry forward the net balance remaining after every deductible amount has been subtracted, including:

(a)
payment gateway and bank charges under Clause 5.4;
(b)
amounts already committed to Third-Party Providers under Clause 6.5, together with any cancellation charge, penalty, forfeiture or no-show charge levied on those bookings;
(c)
the administrative charge as applicable under Clause 6.6; and
(d)
any other cost or loss actually incurred by PPG in consequence of the deferral.

Where the deductions equal or exceed the amount paid, no balance is carried forward and the Registration stands cancelled without further entitlement.

The carried-forward balance is:

(i)
held as a credit against a future PPG Workshop only, and is not refundable in cash under any circumstance;

(ii) valid for 12 months from the date of deferral, after which it lapses in full without notice;

(iii) subject to seat availability, eligibility and payment by the Participant of any difference in fee, taxes and costs for the substituted Workshop;

(iv) personal to that member and non-transferable; and

(v)
capable of being availed once only — a Registration made against a carried-forward balance cannot itself be deferred, transferred or refunded.

Points redeemed against the original Registration are dealt with under Clause 6.10 and are not carried forward.

6.9 Refund mechanics. Approved refunds are processed within 15 working days to the original payment instrument only. PPG is not responsible for delays attributable to banks or payment gateways. Refunds are made in Indian Rupees; exchange-rate variations are borne by you.

6.10 Points on cancellation. Where a Registration is cancelled and a cash refund is payable, the extent to which Points redeemed against it are restored to your balance shall be determined by PPG at its sole discretion, having regard to the circumstances of the cancellation, the stage at which it was made and the costs borne by PPG. PPG's determination shall be final and shall not be the subject of any grievance, appeal or claim. Restoration in one case creates no precedent or entitlement in any other. Where no cash refund is payable, redeemed Points are forfeited in full. Points that are restored retain their original expiry date and are not extended.

6.11 No cash-equivalent. Refunds shall not be issued as cash, credit notes, vouchers or adjustments against other PPG offerings unless expressly agreed in writing by PPG.


SECTION 7 — CHANGES AND CANCELLATION BY PPG

7.1 Cancellation by PPG. PPG may cancel or postpone a Workshop where enrolment does not reach 30% of the seat capacity stated for that Workshop, where Faculty is unavailable, where permissions are denied, or for any operational, safety or Force Majeure reason. Where the calculation of 30% yields a fraction, it shall be rounded up to the next whole participant. PPG may, at its discretion, elect to run a Workshop that has not reached this threshold, and doing so on any occasion creates no obligation to do so on any other. Wherever practicable, notice of cancellation or postponement will be given at least 3 days in advance through the platform and by email. Where the reason for cancellation or postponement arises within that period, or is a Force Majeure event, notice will be given as soon as reasonably practicable and the 3-day period shall not apply.

7.2 Remedies on PPG cancellation. Where PPG cancels a Workshop before commencement, you shall be entitled, at PPG's option, to (a) a seat in the next available batch, (b) a credit valid for 12 months from the date of cancellation, or (c) a refund of the Workshop Fee received, with redeemed Points restored in full. This is your sole and exclusive remedy. PPG shall not be liable for any travel, accommodation, transport, leave, opportunity or other cost, loss or expense incurred by you in anticipation of the Workshop, whether or not foreseeable.

7.3 Changes to programme. PPG may, without liability, alter the schedule, timings, dates, duration, sequence, Venue, route, itinerary, subject matter, shooting locations, models or Faculty, and may substitute Faculty of comparable standing, where necessary for operational, safety, weather, statutory or Force Majeure reasons. Such changes do not constitute a deficiency in service and do not entitle you to any refund or compensation.

7.4 Curtailment. If a Workshop is curtailed after commencement for any reason including Force Majeure, safety concerns or statutory direction, PPG shall use reasonable efforts to deliver the remaining content in an alternative format, including online, but shall be under no obligation to refund any part of the Fee. Any refund or credit offered in such circumstances is a goodwill gesture at PPG's absolute discretion, shall not exceed the unutilised portion of the Fee, and creates no precedent or entitlement.

7.5 Mode conversion. PPG may convert an offline Workshop to online, or vice versa, where circumstances require. Conversion does not entitle you to a refund.

7.6 Removal of a Participant. PPG may remove any Participant from a Workshop at any time under Clause 9.4. Removal carries no refund, no points, and no restoration of redeemed Points, and the removed Participant must arrange their own return travel at their own cost and risk.


SECTION 8 — ASSUMPTION OF RISK AND VOLUNTARY PARTICIPATION

8.1 Voluntary participation. You acknowledge that participation is entirely voluntary, undertaken with full knowledge of the nature of the activities, and at your own risk in every respect.

8.2 Nature of risks. You expressly acknowledge that photography Workshops may involve, without limitation:

(a)
travel by road, rail, air, boat or on foot, including on hilly, coastal, forest, desert or unmade terrain;
(b)
walking, trekking, standing, climbing, wading, crouching and carrying heavy equipment for extended periods, in darkness, heat, cold, rain or humidity;
(c)
shooting at night, before dawn, at elevation, near water bodies, cliffs, ledges, railway lines, roads, construction sites and industrial areas;
(d)
proximity to wild or domestic animals, birds, reptiles, insects and marine life;
(e)
exposure to sun, dehydration, altitude, allergens, pollution, contaminated food or water, and vector-borne illness;
(f)
use of electrical equipment, studio lighting, strobes, tripods, drones, ladders, generators and inflammable materials;
(g)
crowds, traffic, uneven surfaces, poor lighting, slippery ground and unfamiliar surroundings;
(h)
theft, snatching, pickpocketing and loss of personal property; and
(i)
the acts, omissions and negligence of other Participants, Third-Party Providers, members of the public and animals.

8.3 Informed assumption. You voluntarily assume all risks of personal injury, illness, disability, psychological harm, death, and loss of or damage to property arising from or connected with participation, whether or not specifically listed above and whether foreseeable or not.

8.4 Fitness self-certification. You certify that you are medically, physically and mentally fit to undertake the activities described for the Workshop; that you have disclosed all relevant conditions in your PPG profile or in writing before commencement (including cardiac, respiratory, orthopaedic, neurological, psychiatric, epileptic, diabetic, allergic and pregnancy-related conditions); and that you carry adequate personal medication. PPG may, on medical or safety grounds, decline your participation in any specific activity without refund.

8.5 No medical services. PPG is not a medical provider and Faculty are not trained medical personnel. Any first-aid kit carried is a courtesy, not a service commitment. In an emergency PPG may, without any obligation, arrange transport to a medical facility; all medical, hospitalisation, evacuation, repatriation and related costs shall be borne entirely by you or your family.

8.6 Insurance. You are strongly advised, and solely responsible, to obtain adequate personal accident, health, travel and equipment insurance. PPG does not provide insurance cover of any kind for Participants or their equipment.


SECTION 9 — PARTICIPANT CONDUCT AND DISCIPLINE

9.1 Standard of conduct. You shall at all times:

(a)
follow all instructions, safety briefings and directions issued by Faculty, promptly and without argument;
(b)
remain within designated areas and with the group; not wander off, split away or undertake solo excursions without express permission;
(c)
report on time; late arrivals may be denied entry or transport without refund;
(d)
treat Faculty, fellow Participants, models, staff, Third-Party Providers, local communities and members of the public with courtesy and respect;
(e)
comply with all applicable laws, permit conditions, Venue rules and property owners' instructions;
(f)
respect the privacy, dignity and consent of all persons photographed;
(g)
refrain from any conduct that endangers yourself or others.

9.2 Prohibited conduct. The following are strictly prohibited and constitute material breach:

(a)
consumption or possession of alcohol, narcotics or intoxicants during any Workshop session, travel or field activity, or attending under the influence of the same;
(b)
smoking or vaping except in designated areas;
(c)
harassment, sexual harassment, stalking, intimidation, bullying, unwelcome physical contact, or any discriminatory conduct on grounds of gender, caste, religion, region, language, disability, age, sexual orientation or nationality;
(d)
photographing or recording any person, including models, Faculty or fellow Participants, without their consent; photographing in prohibited areas; voyeuristic or intrusive photography of any kind;
(e)
trespass onto private, restricted, defence, railway or protected property; breach of monument, sanctuary, national park or reserve forest rules;
(f)
baiting, feeding, chasing, cornering, disturbing or otherwise harassing wildlife; damaging habitat, nests, flora or fauna;
(g)
operating drones without valid statutory permissions and site permission, or in violation of the Drone Rules, 2021 and DGCA directions;
(h)
reckless behaviour near cliffs, water, roads, railway tracks, moving vehicles or electrical installations;
(i)
damage, defacement or littering of any Venue or property;
(j)
unauthorised recording of instructional sessions (see Section 14);
(k)
commercial solicitation, recruitment, promotion of competing services, or marketing to fellow Participants;
(l)
creating factions, disruption or persistent argument that interferes with the conduct of the Workshop;
(m)
misrepresenting yourself as Faculty, an employee, partner or affiliate of PPG or Pixavince Creations;
(n)
any act that brings, or is likely to bring, PPG or Pixavince Creations into disrepute.

9.3 Responsibility for own actions. You are solely and personally liable for all consequences of your own acts and omissions, including any injury caused to yourself or others, any damage to property, any fine, penalty, seizure of equipment, detention or prosecution by any authority, and any claim by any third party. PPG bears no liability whatsoever in this regard and shall not be required to intervene, represent, defend or bail out any Participant.

9.4 Consequences of breach. PPG may, at its sole discretion and without prior warning, issue a warning, restrict your participation in any activity, remove you from the Workshop, remove you from group communication channels, suspend or terminate your PPG membership, forfeit accrued Points, report the matter to the police or other authority, and permanently bar you from all future PPG activities. No refund, compensation, points, pro-rata adjustment or alternative arrangement shall be payable in any such case, and you shall bear all costs of your own return travel and accommodation.

9.5 Recovery of loss. You shall reimburse PPG on demand for any loss, damage, penalty, fine, compensation or expense suffered by PPG as a result of your breach, misconduct or negligence.

9.6 Group communication channels. Any WhatsApp, Telegram, email or other group created for a Workshop is for coordination only. PPG may moderate, restrict or remove any member and may dissolve the group at any time. PPG is not responsible for the content, accuracy, tone or consequences of messages posted by other Participants.


SECTION 10 — MINORS, GUARDIANS AND ACCOMPANYING PERSONS

10.1 A Minor may participate only where every condition in Clause 4.3 has been satisfied. A Minor must be accompanied at all times by the parent or legal guardian, or by the adult nominated under Clause 4.3(d), who shall remain physically present and responsible for the Minor throughout, including during travel, meals, breaks and overnight stays.

10.2 PPG does not provide childcare, chaperoning or supervision services of any nature. Faculty owe no duty of supervision to any Minor. Supervision remains at all times the sole responsibility of the accompanying adult.

10.3 The parent or legal guardian accepts these Terms on the Minor's behalf, indemnifies PPG in respect of the Minor, and assumes all risk on the Minor's behalf, and shall be jointly and severally liable for the Minor's conduct and for any loss or damage caused by the Minor.

10.3A If the accompanying adult leaves the Workshop, ceases to accompany the Minor, or is removed under Clause 9.4, the Minor's participation ends at the same moment. No refund is payable in such a case.

10.4 Persons accompanying you who are not themselves enrolled are not permitted at any session, Venue, transport or activity unless expressly authorised in writing by PPG. Where authorised, they must accept these Terms and are treated as Participants for the purposes of Sections 8, 9, 16, 17 and 18.


SECTION 11 — EQUIPMENT

11.1 Own equipment. You are solely responsible for bringing, carrying, securing, insuring and maintaining your own cameras, lenses, tripods, drones, batteries, memory cards, laptops and accessories. PPG does not guarantee availability of charging points, storage, lockers, backup devices or internet connectivity.

11.2 Loss or damage to your equipment. PPG accepts no liability whatsoever for any loss, theft, damage, malfunction, water ingress, sand or dust damage, fall, breakage, corruption or erasure of your equipment, memory cards, files or data, howsoever caused, including where caused by Faculty demonstration, another Participant, a Third-Party Provider, transport, weather, animals or the public. Handing equipment to any person is entirely at your own risk.

11.3 Loaned or rented equipment. Where PPG lends or arranges equipment, you shall inspect it before use, use it only as instructed, and return it in the same condition. You shall be liable for the full replacement value of any loss or damage, irrespective of cause other than proven manufacturing defect. A security deposit of an appropriate amount, as determined by PPG having regard to the value and nature of the equipment concerned, may be required before the equipment is handed over, and may be forfeited in whole or in part or adjusted against such liability. Any shortfall between the deposit and the actual loss remains payable by you on demand.

11.4 Data and files. You are responsible for backing up your own work. PPG does not store, archive, recover or take responsibility for Participant files. Files shared through PPG channels may be deleted at any time without notice.

11.5 Drones and regulated equipment. Use of drones, tethered balloons, laser devices, pyrotechnics or any regulated equipment is entirely at your own risk and legal responsibility. You warrant that you hold all necessary registrations, licences and site permissions, and shall solely bear any fine, seizure, prosecution or third-party claim arising from such use.


SECTION 12 — VENUE, TRAVEL, ACCOMMODATION AND THIRD-PARTY PROVIDERS

12.1 Third-party services. Where a Workshop involves transport, accommodation, meals, guides, permits, models, makeup artists, boats, safaris or any other service provided by a Third-Party Provider, PPG acts solely as a facilitator and coordinator, not as the provider. Such services are subject to the Third-Party Provider's own terms and conditions.

12.2 No liability for third parties. PPG shall not be liable for any act, omission, default, delay, cancellation, negligence, deficiency, overbooking, breakdown, accident, injury, illness, food poisoning, theft or misconduct of or by any Third-Party Provider or its personnel. Your recourse in such matters lies solely against that Third-Party Provider.

12.3 Own travel. Unless expressly included, you arrange and pay for your own travel to and from the reporting point, and bear all risk of delay, cancellation, missed connection or accident. PPG shall not delay, reschedule or reorganise a Workshop on account of any individual Participant's travel disruption.

12.4 Venue conditions. Venues may lack lifts, ramps, clean washrooms, potable water, mobile network, electricity or medical facilities. Venues are accepted on an "as-is" basis. Any specific accessibility requirement must be disclosed in writing before enrolment; PPG will indicate whether it can be accommodated but gives no warranty of accessibility.

12.5 Permissions. Where a Venue requires permission, entry fee, camera fee or permit, grant is at the discretion of the concerned authority or owner. Denial, withdrawal or restriction of permission is a Force Majeure event under Section 13 and does not entitle you to any refund.

12.6 Personal belongings. You are solely responsible for your money, documents, valuables and belongings at all times, including in vehicles, hotel rooms and shared spaces. PPG bears no liability for loss or theft.


SECTION 13 — EXTERNAL FACTORS AND FORCE MAJEURE

13.1 Force Majeure events. PPG shall not be liable for any failure, delay, curtailment, alteration or cancellation of a Workshop, or for any loss, cost, injury or damage suffered by a Participant, arising directly or indirectly from any event beyond PPG's reasonable control, including:

(a)
Weather and natural events — rain, unseasonal or excessive rainfall, thunderstorm, lightning, hailstorm, flood, cloudburst, landslide, avalanche, cyclone, storm surge, drought, heatwave, cold wave, fog, snow, dust storm, poor visibility, earthquake, tsunami, wildfire, forest fire, river swelling;
(b)
Astronomical and environmental conditions — cloud cover, moon phase, light pollution, air quality, smog, absence of an expected celestial event, and the absence or non-appearance of wildlife, migratory birds, blooms, tides, waterfalls or any seasonal phenomenon;
(c)
Civil and political events — riot, communal disturbance, civil commotion, protest, agitation, morcha, bandh, hartal, strike, lockout, curfew, prohibitory orders, war, hostilities, invasion, insurgency, terrorism, bomb threat, sabotage;
(d)
Governmental and statutory events — any order, direction, notification, restriction, lockdown, ban, closure, quarantine, road closure, traffic diversion, VIP movement, election code of conduct, denial or revocation of permit or licence, change in law, court order, or action by police, forest department, municipal, defence or any other authority;
(e)
Health events — epidemic, pandemic, outbreak, public health emergency, contamination, or advisory issued by any health authority;
(f)
Infrastructure and utility events — power failure, internet or telecom outage, server, hosting, payment gateway or platform failure, cyber-attack, water or fuel shortage, transport strike, rail or flight cancellation or delay, road or bridge closure, accident on route, vehicle breakdown;
(g)
Venue and personnel events — closure or non-availability of a Venue, double-booking by the Venue, withdrawal of a Third-Party Provider, sudden illness, injury, bereavement or unavailability of Faculty;
(h)
any other act of God, national emergency, or event of a similar nature not reasonably foreseeable or preventable by PPG.

13.2 Effect. On occurrence of a Force Majeure event, PPG may in its absolute discretion postpone, reschedule, shorten, relocate, restructure, convert to online mode, or cancel the Workshop in whole or in part.

13.3 No refund obligation. No refund, compensation, damages or reimbursement shall be payable for any Force Majeure event. Costs already incurred or committed by PPG are non-recoverable. Any credit, partial refund or alternative arrangement offered in such circumstances is a voluntary goodwill measure at PPG's sole discretion, shall not exceed the unutilised portion of the Fee, and shall create no precedent or entitlement.

13.4 Consequential costs. PPG shall in no event be liable for your travel tickets, accommodation bookings, leave, loss of earnings, assignment loss, or any other cost or loss arising from a Force Majeure event.

13.5 Participant safety obligations. In the event of any external disturbance, you shall follow Faculty instructions and the lawful directions of authorities. A Participant who disregards such instructions does so entirely at their own risk and relieves PPG of all responsibility for their safety.

13.6 Independent departure. A Participant who chooses to leave a Workshop early on account of weather or any external factor does so at their own cost and risk, and shall have no claim to any refund.


SECTION 14 — INTELLECTUAL PROPERTY AND COURSE MATERIAL

14.1 Ownership. All Content created or supplied by PPG — including presentations, handouts, notes, PDFs, videos, recordings, presets, LUTs, templates, exercises, curricula, teaching methods, and the Pixavince and PPG names, logos and marks — is the exclusive intellectual property of Pixavince Creations or its licensors and is protected under the Copyright Act, 1957 and applicable law.

14.2 Limited licence. You receive a personal, non-exclusive, non-transferable, revocable licence to use PPG Content solely for your own personal learning. All other rights are reserved.

14.3 Prohibited use. You shall not copy, reproduce, publish, upload, share, forward, sell, licence, translate, adapt, or otherwise distribute any PPG Content, nor use it to teach, train, coach, conduct workshops, create competing material, or train any artificial intelligence or machine learning system.

14.4 Recording. Photography, screen-recording, audio or video recording, screenshotting or live-streaming of any instructional session, demonstration, critique, model shoot or online class is strictly prohibited without prior written permission from PPG.

14.5 Access credentials. Credentials for any online session or platform area are personal and non-transferable. Sharing credentials is a material breach and may result in immediate termination without refund.

14.6 Consequences. Breach of this Section entitles PPG to immediate termination without refund, forfeiture of Points, injunctive relief, and recovery of damages, profits and legal costs, in addition to any statutory remedy.


SECTION 15 — YOUR WORK, MODEL SHOOTS AND USAGE RIGHTS

15.1 Your own images. Photographs and videos you create during a Workshop remain your property, subject to the restrictions in this Section and to the rights of any person, model or property depicted.

15.2 Model shoots — restricted use. Where PPG arranges a model, subject or set, images made of that model may be used by you only for personal portfolio and non-commercial social media use, with due credit to PPG. Commercial use, sale, licensing, stock submission, advertising use, NFT minting, contest or challenge entry, or AI training use is strictly prohibited unless you obtain a separate written release directly from the model.

15.3 Consent obligations. You are solely responsible for obtaining lawful consent for any person you photograph outside arranged sessions, and for complying with all applicable privacy, publicity, obscenity and data protection laws. PPG bears no liability for any claim arising from your images.

15.4 Licence to PPG. You grant PPG a perpetual, worldwide, royalty-free, irrevocable, sub-licensable and transferable licence to reproduce, display, publish and distribute images and videos you submit to PPG, or share in official Workshop channels, for teaching, review, critique, portfolio, marketing, promotion and archival purposes, with credit to you wherever practicable. This licence is granted without fee, royalty or further consent, and survives termination of your membership.

15.5 Your likeness. You irrevocably consent to being photographed, filmed and audio-recorded during Workshops, and grant PPG a perpetual, worldwide, royalty-free licence to use such material — including your image, likeness, voice, name and testimonial — in any medium for promotional, marketing, educational, editorial and archival purposes, without further notice, approval, credit or compensation. If you do not consent, you must notify PPG in writing before commencement; PPG will use reasonable efforts to accommodate the request but cannot guarantee exclusion from group, candid or wide-angle footage.

15.6 Credit. When publishing work created during a Workshop, you shall credit Pixavince Photography Group and shall not represent PPG Content, methods or Faculty guidance as your own original teaching material.


SECTION 16 — LIMITATION OF LIABILITY

16.1 Educational service only. PPG provides instruction and guidance only. PPG makes no warranty, representation or guarantee as to any specific learning outcome, skill acquisition, image quality, photographic opportunity, sighting, weather, light, model performance, career advancement, income, employment, client acquisition, competition success or social media growth. Individual results depend entirely on your own effort, aptitude, equipment and circumstances.

16.2 No custodial duty. PPG does not act as custodian, guardian, chaperone, escort, guarantor or insurer of any Participant or their property.

16.3 Exclusion of liability. To the maximum extent permitted by law, PPG, Pixavince Creations, and their respective owners, partners, directors, employees, Faculty, agents, volunteers and representatives shall not be liable for:

(a)
death, personal injury, illness, disability or psychological harm suffered by a Participant;
(b)
loss of, theft of, or damage to any property, equipment, data or files;
(c)
any act, omission or negligence of a Third-Party Provider, another Participant, a model, a member of the public, or an animal;
(d)
any Force Majeure event under Section 13;
(e)
any consequence of your own act, omission, negligence, breach, misrepresentation or non-disclosure;
(f)
any indirect, incidental, special, punitive or consequential loss, including loss of profit, loss of opportunity, loss of assignment, loss of earnings, travel and accommodation costs, leave, reputational loss, emotional distress or disappointment;
(g)
failure to achieve any expected photographic result, sighting or condition;
(h)
unavailability, error, downtime, data loss or security incident affecting the PPG platform, its payment gateway, or any communication sent through it.

16.4 CAP ON LIABILITY. Notwithstanding anything to the contrary, and irrespective of the nature of the claim — whether in contract, tort, negligence, statute, restitution or otherwise — the total aggregate liability of PPG and Pixavince Creations to any Participant, arising out of or in connection with any Workshop, shall not in any circumstance exceed the Workshop Fee actually received by PPG from that Participant for that specific Workshop.

16.5 No aggregation. The cap in Clause 16.4 applies per Participant per Workshop and is not cumulative across Workshops, sessions, batches, claims or claimants.

16.6 Free and complimentary activities. Where a Workshop, session, add-on, bonus content, community access or review session is provided free of charge, and in respect of all PPG Contests, Challenges and Group Activities, PPG shall bear no liability whatsoever and the liability cap shall be Nil. Participation in any free activity is entirely at the Participant's own risk.

16.7 Points are not compensation. No claim shall lie in respect of Points. Points carry no monetary value and their award, non-award, reversal, adjustment or expiry shall not found any claim for damages.

16.8 Time bar. Any claim must be notified to PPG in writing within 7 days of the event giving rise to it. Claims notified thereafter shall be deemed waived and absolutely barred.

16.9 Statutory rights. Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded or limited under the laws of India. Where any exclusion or limitation is held unenforceable, the remaining provisions shall continue in full force and the liability shall be limited to the maximum extent permitted by law.


SECTION 17 — INDEMNITY

17.1 You shall indemnify, defend and hold harmless PPG, Pixavince Creations, and their respective owners, partners, directors, employees, Faculty, agents, volunteers, representatives and Third-Party Providers against any and all claims, demands, suits, proceedings, losses, damages, liabilities, fines, penalties, costs and expenses (including legal fees on a full indemnity basis) arising out of or in connection with:

(a)
your breach of these Terms or of any applicable law, permit condition or Venue rule;
(b)
any injury, death, loss or damage caused by you to any person or property;
(c)
any claim by any third party — including any person photographed, any model, any property owner or any authority — in respect of your conduct, images or use of images;
(d)
any infringement of intellectual property, privacy, publicity or data protection rights by you;
(e)
any misrepresentation, false declaration or non-disclosure by you, including of medical conditions;
(f)
your use of drones or any regulated equipment.

17.2 This indemnity is continuing and survives completion, termination or cancellation of the Workshop and of your membership.


SECTION 18 — WAIVER AND RELEASE

18.1 To the maximum extent permitted by law, you, on your own behalf and on behalf of your heirs, executors, administrators, legal representatives and assigns, irrevocably waive, release and discharge PPG, Pixavince Creations and all persons referred to in Clause 17.1 from any and all claims, causes of action, demands and liabilities of any nature arising out of or connected with participation in a Workshop, save to the extent expressly preserved by Clause 16.9.

18.2 You confirm that you have read this waiver, understood its effect, had the opportunity to seek independent advice, and accept it freely and voluntarily as a condition of participation.


SECTION 19 — GRIEVANCES AND COMPLAINTS

19.1 On-site escalation first. Any concern regarding the conduct of a Workshop must be raised with the Faculty or coordinator immediately and on-site, so that it can be examined and, where possible, remedied at the time. Complaints raised only after conclusion, where the matter could reasonably have been raised during the Workshop, shall not be entertained.

19.2 Written grievance. Written grievances must be submitted through the PPG contact form or to contact@pixavince.com within 7 days of the conclusion of the Workshop, setting out full particulars and supporting evidence. PPG shall acknowledge within 7 working days and respond within 30 working days. Grievance Officer: Vaishali Prabhune, contact@pixavince.com.

19.3 Finality of PPG's decision. In respect of all matters concerning the interpretation and application of these Terms, the conduct and content of a Workshop, evaluation of a Participant's work, disciplinary action, eligibility, capacity, refunds, deferrals, Points and goodwill measures, and any dispute or difference of any nature arising between a Participant and PPG, the decision of PPG shall be final, conclusive and binding on all Participants. No correspondence, appeal, review or reconsideration shall be entertained beyond the process in this Section.

19.4 No public escalation. You agree to pursue the process in this Section before making any public statement, social media post, review or communication concerning the dispute. Publication of defamatory, false or misleading statements shall entitle PPG to pursue all available civil and criminal remedies.


SECTION 20 — GOVERNING LAW AND DISPUTE RESOLUTION

20.1 Governing law. These Terms and any dispute arising out of or in connection with them shall be governed by and construed in accordance with the laws of India.

20.2 Amicable resolution. The parties shall first attempt to resolve any dispute amicably through the grievance process in Section 19, over a period of not less than 30 days from written notice of dispute.

20.3 Arbitration. Any dispute not resolved under Clause 20.2 shall be referred to arbitration by a sole arbitrator appointed by Pixavince Creations, under the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration shall be Pune, Maharashtra, the language shall be English, and the award shall be final and binding. Each party shall bear its own costs unless the arbitrator directs otherwise.

20.4 Jurisdiction. Subject to Clause 20.3, the courts at Pune, Maharashtra shall have exclusive jurisdiction over all matters arising from these Terms, and you irrevocably submit to such jurisdiction and waive any objection on grounds of forum or convenience.

20.5 No class action. Claims must be brought individually. Participants shall not consolidate claims or participate in any representative or class proceeding against PPG or Pixavince Creations.


SECTION 21 — DATA PROTECTION AND PRIVACY

21.1 Personal data collected at registration and enrolment is processed in accordance with the PPG Privacy Policy at `pixavince-photography.club/privacy-policy` and the Digital Personal Data Protection Act, 2023. The Data Protection / Grievance Officer is Vaishali Prabhune, contact@pixavince.com.

21.2 By enrolling, you consent to PPG using your contact details for Workshop coordination and service communication. General club activity updates and announcements are sent only where you have enabled them, and you may turn them off at any time from your profile. Service communications relating to an active enrolment — confirmations, changes, reminders and cancellations — will continue regardless of that setting.

21.3 PPG may share your details with Third-Party Providers strictly to the extent necessary for the delivery of the Workshop, for example hotel or permit registration.

21.4 You shall not collect, store, publish or misuse the personal data or contact details of any other Participant obtained through a Workshop or its communication channels.


SECTION 22 — GENERAL

22.1 Severability. If any provision of these Terms is held invalid, illegal or unenforceable, it shall be severed or read down to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

22.2 No waiver. No failure or delay by PPG in exercising any right shall operate as a waiver of it. A waiver granted on one occasion shall not apply to any other occasion and shall create no precedent or entitlement.

22.3 Survival. Sections 14, 15, 16, 17, 18, 20, 21 and 22 survive the completion, termination or cancellation of any Workshop and of your membership.

22.4 Assignment. You may not assign or transfer any right or obligation under these Terms. Pixavince Creations may assign its rights and obligations to any successor entity.

22.5 No partnership. Nothing in these Terms creates any partnership, joint venture, employment, agency or franchise relationship between PPG and any Participant.

22.6 Separate entity. Pixavince Photography Group is distinct from Pixavince Photography School (`pixavince.com`). Enrolment in a PPG Workshop confers no right, benefit or entitlement in respect of any course, programme or offering of Pixavince Photography School, and vice versa, unless expressly stated.

22.7 Notices. Notices to PPG shall be sent to contact@pixavince.com. Notices to you shall be sent to the email address registered on your PPG account and shall be deemed received on the day of sending. Keeping that address current is your responsibility.

22.8 Cross-reference. Where a Workshop includes or is followed by a Contest, Challenge or Group Activity, the separate Terms applicable to that category shall additionally apply. In the event of conflict, the Terms of the category under which the activity is conducted shall prevail for that activity, save that Clause 16.4 (Cap on Liability), Clause 16.6 (Free Activities) and Clause 19.3 (Finality) shall apply in all cases.


SECTION 23 — DECLARATION AND ACCEPTANCE

By enrolling in a PPG Workshop, I confirm and declare that:

1.
I have read, understood and voluntarily accept these Terms & Conditions in their entirety.
2.
All information in my PPG profile is true, complete and current.
3.
I am medically and physically fit to participate and have disclosed all relevant conditions.
4.
I understand and voluntarily assume all risks described in Section 8.
5.
I have read the refund policy stated on the Workshop Page for this specific Workshop, and I accept that it — and not any general expectation — governs my refund entitlement.
6.
I accept that no refund, points or credit is payable for non-attendance, late arrival, early departure or withdrawal after commencement.
7.
I accept that PPG's total liability is limited as set out in Clause 16.4, and is Nil for free activities.
8.
I accept that PPG's decision shall be final and binding in all matters of dispute.
9.
I agree to indemnify PPG as set out in Section 17 and accept the waiver in Section 18.
10.
I consent to the use of my images, likeness and submitted work as set out in Section 15.
11.
I am 18 years of age or above; or, where I am enrolling a person below 18, I am that person's parent or legal guardian, I have submitted the written consent required by Clause 4.3, and I accept these Terms, the assumption of risk, the indemnity and the waiver on that person's behalf as well as my own.
12.
I accept these Terms on behalf of any accompanying person I have registered.
